Subscription Agreement

This Subscription Agreement supplements the MandateSignal Terms of Service and governs paid pilots and recurring subscriptions purchased through Stripe or an order form. By completing checkout, you agree to this Agreement.
1. Plans and order of precedence
Your checkout page or signed order form identifies the plan, price, billing interval, included seats or units, credits, and start date. A signed order form controls over this Agreement if it expressly conflicts. The Terms of Service and Privacy Policy remain incorporated.
2. Recurring subscriptions
Solo, Boutique, and Network are recurring monthly subscriptions unless checkout or an order form states otherwise. Your subscription begins when checkout is completed and automatically renews for successive periods of the same length until canceled. You authorize Stripe to charge the payment method on file at the beginning of each billing period.
3. Founder pilot
The Founder pilot is a one-time $250 payment for a two-week pilot, unless a signed pilot agreement specifies different scope or timing. The pilot includes the deliverables shown at purchase or in the applicable agreement. The $250 may be credited once toward the first monthly or annual subscription period when conversion occurs within 30 days after the pilot, subject to confirmation by MandateSignal. The credit has no cash value and cannot be combined with another offer unless agreed in writing.
4. Payment, failed charges, and taxes
Fees are due in advance and charged in U.S. dollars. You must keep billing information current. We may retry failed charges, suspend paid features, or terminate for nonpayment after reasonable notice. Fees exclude taxes, duties, and assessments; you are responsible for them except taxes on our net income. If withholding is legally required, you will provide documentation and, where permitted, pay amounts necessary for us to receive the invoiced fee.
5. Cancellation and effect
You may cancel a recurring plan through the Stripe billing portal or by contacting billing@mandatesignal.com. Cancellation takes effect at the end of the current paid billing period unless law or an order form requires otherwise. You retain access through that date, and future renewal charges stop. Canceling does not automatically delete account data; deletion is handled under the Privacy Policy.
6. Refunds
Except where required by law or expressly stated in an order form, fees are nonrefundable and partial periods are not prorated. If MandateSignal materially fails to deliver a paid pilot’s written core deliverables and does not cure within a reasonable period after notice, your exclusive remedy is reperformance, service credit, or refund of the affected pilot fee at our reasonable election. Duplicate or erroneous charges will be corrected.
7. Plan changes and usage
Upgrades may take effect immediately and may be prorated by Stripe. Downgrades normally take effect at the next renewal. Seats, verified-contact credits, recipes, and other limits are measured as described in the Service. Unused monthly credits expire at the end of the applicable period unless checkout or an order form states otherwise. We may prevent usage above plan limits or offer an upgrade.
8. Price changes
We may change recurring prices by providing advance notice required by applicable law. New prices apply no earlier than the next renewal after the notice period. You may cancel before the new price takes effect. Changes caused by taxes or customer-requested plan changes may apply sooner.
9. Trials and promotions
Promotions, credits, and trial periods are limited to their stated terms, may be restricted to eligible customers, and may not be transferred or redeemed for cash. Unless checkout clearly states that a trial is free and requires no payment method, paid pilot fees are charged at checkout.
